Welcome to the Think Promo Now Platform (the “Platform”). Your use of the Platform and any resources provided on or through the Platform, including company store sites and “insta-sites” (“Sites”), is subject to these terms (the "Terms") which form an agreement between you and Altitude Group, Inc. (“AG”). These Terms govern your use of the Platform and any Sites that are part of the Platform. You automatically agree to these Terms simply by using or logging into the Platform and/or Sites.
1. Accounts. To access and utilize the Platform and/or Sites, you must establish a Customer Account. To establish a Customer Account, you must complete a registration process by providing AG with current, complete and accurate information as prompted by the registration form, including the provision of valid authorized credit card information.
Should AG suspect that any information is not accurate, current or complete, AG reserves the right to suspend or terminate your usage of the Platform.
You are solely responsible for any and all activities that occur under your Customer Account. You shall notify AG immediately of any unauthorized use of your Customer Account or any password or any other breach of security that is known or suspected by you. You agree to indemnify and hold AG harmless against any claim and/or liability resulting from your failure to comply with the responsibilities set forth in this Section.
2. Fees. AG has incurred substantial and significant costs and expenses in developing and implementing the Platform and the Sites, and/or in obtaining patents on its technology.
For current Printing Impressions subscribers, AG has agreed to waive any account Fees for your use of the Platform and any Sites, provided that you process orders through the Platform on a Regular Basis. “Regular Basis” means that, within thirty (30) days of your onboarding session for the Platform or your company store going live through a Site or Sites (“Initial Period”), whichever is earlier, you process promotional product orders each month thereafter on a Regular Basis. In the event you fail to process orders, we will notify you of this failure and you can choose to either have your Site(s) and access to the Platform terminated or pay regular assessed Fees. To continue access, you will pay the Fees to AG by authorized credit card or, if agreed to by AG, by check. Your authorized credit card will automatically be charged Fees on the 1st of each month. In the event you terminate use of the Platform and/or Sites, AG will not refund any Fees already paid by you.
Accordingly, AG offers its technology, i.e., the Platform and Sites, to users who choose to forgo the Minimum Order requirement, a monthly fee will be assessed, per company, for each Company Store Site (the “Fees”). Your Customer Account will be considered delinquent if you or your credit card company fails to pay the amount billed to it and that amount remains unpaid at the beginning of the next accounting cycle. Your access to the Platform and/or Sites shall be suspended or terminated if your account is delinquent for more than 30 days. AG may impose a charge to restore archived data from delinquent accounts.
AG may choose to bill you for the Fees through an invoice. Full payment for invoices issued in any given month must be received by AG thirty (30) days after the mailing date of the invoice, or your access to the Platform and/or Sites may be terminated. Unpaid invoices are subject to interest of 1% per month on any outstanding balance or the maximum permitted by law, plus all expenses of collection.
3. Additional Terms. You agree that additional Terms and Conditions may be imposed through the Platform and/or Sites electronically.
